Engagement Suite Terms of Service

This Agreement contains the terms and conditions under which we will provide you with access to and use of our Site.

Welcome to the Engagement Suite by Confetti! These Terms of Service, along with an order form(s) and/or invoice referencing these terms (as applicable) (collectively, “Terms”), constitute a legally binding agreement governing your access and usage of the Engagement Suite and its Toolkits.

The Engagement Suite is intended for business and work-related use. When you are using the Engagement Suite and its Toolkits for such use, you act on behalf of the entity which you represent (“Customer Entity”), and not as an individual consumer. As such, these Terms are between Wekudo Tech, Inc., d/b/a “Confetti” (12187 Rockledge Cir., Boca Raton, FL 33428, US) and any wholly-owned subsidiary (“us”, “we”, “our” or “Confetti”) and you, either individually, or on behalf of Customer Entity (“you”, “yours” or “customer”). We may use our wholly-owned subsidiary and third party service providers to process and/or collect payment from you. For the avoidance of doubt, except as explicitly otherwise indicated in these Terms, “you” shall refer to Customer Entity and all user types referred to in these Terms.

You acknowledge that these Terms are binding, and you affirm to consent to these Terms by: (i) accessing and using the Engagement Suite and its Toolkits; and/or (ii) clicking on a button or check-box where specific language is shown indicating your acceptance to these Terms. The date of such acceptance is deemed the “Effective Date” of these Terms.

If you do not agree to these Terms, you are not authorized to bind Customer Entity to these Terms, or otherwise cannot make this representation on behalf of a Customer Entity, do not use the Engagement Suite and its Toolkits.

We reserve the right, at our sole and absolute discretion, to update these Terms at any time. Such change will become effective ten (10) days following posting of the revised Terms on the Engagement Suite or such other page where these Terms are accessible form, and your continued use of the Engagement Suite and its Toolkits thereafter means that you accept those changes. At any time you may terminate these Terms by sending us an email to [email protected].

  1. Definitions

    1. Admins” means the designated individuals who subscribe to the Customer Entity to the Engagement Suite and its Toolkits, and who enjoy administrative functionalities. An Admin can simultaneously serve as a User and/or Participant, respectively. An Admin enjoys the same functionalities as Users, including additional account privileges.

    2. Confidential Information“ means all confidential information disclosed by you to us, whether orally or in writing, that is designated as confidential or a reasonable person would consider confidential.

    3. Content” means any information, text, documents, articles, brochures, descriptions, products, software, graphics, photos, sounds, videos, code, audio clips, links, interactive features, and services, slides, presentations, and/or other similar materials.”

    4. The Engagement Suite” means our proprietary platform available at https://engagement-suite.withconfetti.com/, where Toolkits and its underlying Content are displayed, can be requested and accessed from.

    5. Toolkits” means the ready-to-use, self-hosted (i.e. without third-party facilitator or host), repeatable resources for various work formats that are available through the Engagement Suite, including without limitation, games, workshops, onboarding, performance review and daily standups. Toolkits are organized into a wide-range of categories, including without limitation, leadership & growth, brainstorming & creativity, and self-awareness & reflection.

    6. Intellectual Property Rights means rights associated with intellectual property, including but not limited to copyrights, trademarks, service marks, patents, trade secrets, moral rights, domain names, and other proprietary rights recognized under applicable laws and international treaties.

    7. Participants” means the individuals designated and invited by the Users to join and take part in the Engagement Suite and its Toolkits. Participants do not have administrative or customization capabilities with respect to the Engagement Suite and/or its Toolkits.

    8. Users means the individuals invited and designated by the Admin, who can access the Engagement Suite and its Toolkits, and are authorized to download, access, customize and host Toolkits, subject to permissions set by the Admin/s.

  2. Usage Rights & Restrictions

  1. Engagement Suite. The Engagement Suite allows you to find and request access to ready-to-use Toolkits for work related purposes.

  2. Beta Service. The Engagement Suite and its Toolkits are currently released as a “Beta Service” - meaning they are experimental, under active development, and any Toolkit and/or its Contents and any other Engagement Suite offering may be added, changed or discontinued at any time without further notice to you. As such, any usage of the Engagement Suite and its Toolkits is at your own risk and there shall be no claim against Confetti arising out of your usage of the Toolkits. Confetti shall have no obligation to defend, indemnify, or hold harmless you, Customer Entity, or third party from or against any claims or losses arising from use of the Engagement Suite or its Toolkits.

  3. Usage Rights. Subject to these Terms, we grant you a personal, limited, worldwide, non-exclusive, non-assignable and non-sublicensable, revocable right, during the Term (defined below), to access and use The Engagement Suite and its Toolkits in order to access and use the Toolkits with your teams for work-related use. Confetti may provide some or all elements of the Engagement Suite by third-party service providers.

  4. Restrictions. As a condition for your usage rights, you shall not (or permit or encourage others to): (a) copy, "frame" or "mirror", or otherwise take screenshots of the Engagement Suite and its Toolkits; (b) sell, re-sell, assign, transfer, lease, rent, sublicense, or otherwise distribute or make available the Engagement Suite and its Toolkits to any third party (such as offering it as part of a time-sharing, outsourcing or service bureau environment); (c) modify or adapt the Engagement Suite, the Toolkits and/or its Content, except to the extent permitted or enabled by us; (d) misuse the Engagement Suite and its Toolkits for other purposes than work related purposes; (e) remove or alter any copyright, trademark, logos or other proprietary rights notices displayed in the Engagement Suite and its Toolkits; (f) create a derivative works or use of the Engagement Suite and its ToolKits; (g) reverse engineer or expose the underlying code of the Engagement Suite and its Toolkits; or (h) use the Engagement Suite and/its its Toolkits in anyway that would violate applicable law or these Terms. References in this paragraph to Toolkits shall also be deemed to include any Content appearing and made available by us within the Engagement Suite and its Toolkits.

  5. Responsibilities. Each Admin and User is responsible for maintaining the confidentiality of the provided access credentials to the Engagement Suite and its Toolkits, and ensuring such credentials are not shared externally with unauthorized individuals or third parties.

  6. Suspension. We reserve the right to revoke your access to the Engagement Suite and any Toolkit provided access to if we reasonably suspect you are violating these Terms.

  1. Subscriptions, Bundles, Access & Payments

  1. Subscriptions. Admins may subscribe the Customer Entity to the Engagement Suite - and all or portion of the Toolkits - either independently, or as part of a bundle with other Confetti offerings. Admins may subscribe to (i) an all-inclusive license granting access to the entire Engagement Suite catalog; (ii) a licence for specific Engagement Suite category; or (iii) a license to individual Toolkit/s. Subject to signing an Order Form and/or payment of an invoice referencing these Terms, all Engagement Suite subscriptions are recurring and will renew annually at the end of the then-current term, unless the Admin notifies us of their intent not to renew at least thirty (30) days prior to the renewal date. If available, Admins authorize us to charge the applicable fees to the relevant credit card on record for each renewal period. Alternatively, Admins need to provide payment by the renewal date unless otherwise stated in the Order Form or invoice referencing these Terms. If Admins provide us with a purchase order in relation to an Order From, such is deemed to incorporate these Terms. For the avoidance of doubt, any bundles that include Confetti offerings outside the Engagement Suite remain subject to separate terms and conditions applicable to those offerings.

  2. Access limitations. Each User is limited to requesting access to one (1) Toolkit per day through the Engagement Suite. The requested Toolkit delivery may take up to seven (7) business days.

  3. Payment. Confetti will issue an invoice, payable through our third-party payment processor, which shall be due on receipt. Only upon full payment of the upfront invoice, we will send to Admins the access codes to the Engagement Suite and its Toolkit/s.

  4. Access Links. The provided access links are personal and may only be shared with designated and authorized Users. Access links may not be shared publicly, or with any third party not designated as User or resold without Confetti’s explicit prior written consent. Admins are responsible for securely distributing the access codes to all Users in the format customarily used within your organization.

  1. Personal Information

  1. Admins & User’s Personal Information. Admins and Users who access the Engagement Suite and request access to Toolkits are required to provide certain information, including without limitation, their name and email address (“Personal Information”) for the purpose of identifying such Admin or User. Any such Personal Information may further be used for the purposes as described in Section 7 below.

  2. Participant’s Personal Information. Depending on the type of Toolkit, Participants may have to submit Personal Information, including without limitation, their name, and other information about themselves they voluntarily submit in open text-fields where prompted in certain Toolkits. By providing such information, Participants agree that Confetti may process and store their information solely in order to provide access to Toolkits, enable consuming the Content available therein, and to provide a personalized experience.

  3. No Special Personal Information Categories. The Engagement Suite and its Toolkits are not intended for the processing of special categories of Personal Information. This includes, but is not limited to, sharing any information regarding your (mental) health, religious beliefs, political opinions, or sexual orientation. As such, you are not allowed to submit any such special categories of data.

  1. Intellectual Property

  1. Our Intellectual Property. You acknowledge that Engagement Suite, its Toolkits, including any Content provided therein, underlying code, know how, names, logos and trademarks, and any modifications or derivative works of the foregoing, including all Intellectual Property Rights therein, are the sole and exclusive property of Confetti and its licensors. All rights not expressly granted herein are reserved by us.

  2. Feedback. You may provide us feedback (whether orally or in writing) including without limitation comments, questions, reports, ideas, suggestions, or similar feedback regarding the Engagement Suite and its Toolkits ("Feedback"). Such Feedback shall be deemed the exclusive property of us without restrictions and limitations; and may be implemented and used in our sole discretion. You hereby irrevocably transfer and assign to us all Intellectual Property Rights to the Feedback and waive any and all moral rights or economic rights that you, or the entity you represent, may have in respect thereto.

  3. Customer Reference. You acknowledge and accept that we have the right to use the name and logo of the Customer Entity on the Engagement Suite or in marketing materials, to identify Customer Entity as our customers of the Engagement Suite and/or Toolkits. You may revoke such right at any time by contacting [email protected].

  1. Confidentiality

Any information submitted in connection with Toolkits will be treated as Confidential Information. We will only use such information to operate and improve Toolkits and their Contents, and will restrict access to personnel and third party service providers who have a legitimate need to know that information in order to perform services provided to us. Confetti will use the same degree of care it uses to protect its own information. Confidential Information exchanged hereunder may be disclosed pursuant to an order or requirement of a court, administrative agency or other governmental body; provided, however, that the we shall use our best effort, except where legally prohibited, to provide prompt notice of such court order or requirement to you, to enable you to seek a protective order or otherwise prevent or restrict such disclosure.

  1. Privacy Notice

Our Privacy Notice, available here, as may be updated from time-to-time, provides information about how we independently collect, use and share Personal Information for our own independent business purposes.

  1. Disclaimer of Warranties.

  1. Limited Warranty. We will provide the Engagement Suite and its Toolkits in accordance with these Terms, and/or any terms in the Order Form. The warranty contained in this Section is exclusive, and in lieu of all warranties, express or implied, in connection with each Engagement Suite, its ToolKits and Contents and/or any part or component thereof.

  2. Disclaimer of Warranty.

  1. Except as expressly set forth in these Terms, the Engagement Suite, its Toolkits, and its Contents are made available on an “as is”, “as available” and “with all faults” basis, without warranty of any kind, whether express, implied or statutory, including without limitation, warranties or representations of merchantability, functionality, fitness for a particular purpose, title, accuracy and non-infringement. Confetti makes no guarantee that the Engagement Suite and its Toolkits meet Customer’s requirements, operate without interruption or achieve any intended result, would be secure, complete, free from harmful code or shall be error free.

  2. The Engagement Suite and its Toolkits may occasionally be unavailable for routine maintenance, upgrading or other reasons. You agree that we will not be held responsible for any consequences to you or a third party that may result from technical problems with the internet, slow connections or other disruptions.

  3. The Engagement Suite is a supplement service offered by Confetti. While the Engagement Suite may be offered as an “add on” to, or “bundle” with any subscription to the Confetti’s Main Platform (available at www.withconfetti.com), any statement, representations or warranties made in connection with the security measures, certifications of data handling apply solely to the Confetti Main Platform and to not extend to the Engagement Suite and its Toolkits. Confetti does not warrant that the Engagement Suite or its Toolkits apply the same or a comparable level of security, certification, or data handling practices as the Confetti Main Platform.

  4. The Engagement Suite and its Toolkits are provided to empower you to lead virtual, hybrid or in-person meetings in the corporate setting. The Engagement Suite and its Toolkits, any Content and resources provided therein are designed for facilitation and learning purposes in various work settings. They are not medical or therapeutic tools and should not be relied on for the diagnosis, treatment, cure, or prevention of any mental health or physical health condition, and do not substitute the advice of a physician, licensed therapist or other qualified professional. As such, you are solely responsible for your usage of the Engagement Suite, its Toolkits and Contents, and responsible to review its Contents and make any modifications as necessary (where technically available), or consult specialists on specific topics. Confetti disclaims any liability for loss, harm, or other consequences arising out of using the Engagement Suite, its Toolkits and resources, even when used for the permitted purpose in these Terms.

  5. Certain Toolkits utilize AI-components. You understand and agree that outputs provided may be inaccurate, incomplete or inappropriate. Relying on such outputs are at your sole risk and we make no representations to the accuracy, completeness or suitability of AI outputs, even when used for the permitted purposes herein.

  1. Limitation of Liability

  1. Indirect Damages. IN NO EVENT WILL CONFETTI OR ANY OF ITS SUBSIDIARIES, SUBCONTRACTORS, AGENTS OR LICENSORS, BE LIABLE OR RESPONSIBLE FOR (I) ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES; (II) ANY LOSS OF PROFITS, BUSINESS, OR REVENUE; OR (III) ANY LOSS OF, OR DAMAGE TO, DATA, REPUTATION OR GOODWILL, WHETHER AN ACTION IS IN CONTRACT, OR TORT, REGARDLESS OF THEORY OF LIABILITY, THAT RESULT FROM OR RELATE IN ANY MANNER WHATSOEVER TO THESE TERMS, ENGAGEMENT SUITE USAGE, OR ANY TOOLKIT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  2. Direct Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT IN CASES OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD (WHICH ARE NOT SUBJECT TO A LIABILITY CAP), IN NO OTHER EVENT SHALL CONFETTI’S AGGREGATE LIABILITY TO CUSTOMER ENTITY, OR ANY USER OR PARTICIPANT (INCLUDING YOURSELF) COLLECTIVELY, FOR ANY LOSS, DAMAGE, OR COST ARISING FROM ANY CLAIM, DEMAND, OR ACTION (“CLAIMS”) EXCEED THE TOTAL FEES PAID FOR THE ENGAGEMENT SUITE AND ITS TOOLKITS GIVING RISE TO SUCH LIABILITY UNDER A TWELVE (12) MONTH PERIOD PRECDEDING THE EVENT GIVING RISE TO THE CLAIM.

  1. Third-Party Services

The Engagement Suite and its Toolkits may contain links, and may enable you to post Content to and grant access to third party websites that are not owned or controlled by us. We are not affiliated with, have no control over, and assume no responsibility for the content, privacy policies, or practices of any third party websites. You: (i) are solely responsible and liable for your use of and linking to third party websites and any Content that you may send or post to a third party website; and (ii) expressly release us from any and all liability arising from your use of any third party website. Accordingly, we encourage you to read the terms and conditions and privacy policy of each third party website that you may choose to visit.

  1. Term & Termination

  1. Term. These Terms are in full force and effect, commencing on the Effective Date, until the end of all subscriptions to the Engagement Suite and its Toolkits, or as otherwise provided for herein. When the Customer Entity elects to terminate these Terms for any reason, such termination shall not derogate Customer Entity from its payment obligations, and Customer Entity shall not be entitled to refunds of pre-paid fees.

  2. Termination for Cause. Either you or us may terminate the respective subscription to the Engagement Suite, as applicable, upon written notice, in the case that (a) either party materially breaches these Terms and fails to remedy such breach within 10 days’ written notice from the non-breaching party or (b) ceases its business operations or becomes subject to insolvency proceedings and such proceedings are not dismissed within 45 days.

  3. Survival. Some parts of these Terms remain in force even though these Terms are terminated, such as Section 2 (Usage rights & restrictions), Section 5 (Intellectual Property), Section 6 (Confidentiality), Section 8 (Disclaimers & Warranties), Section 9 (Limitation of Liability), and Section 12 (Miscellaneous).

  1. Miscellaneous

  1. Entire Agreement. These Terms represent the complete understanding between the parties regarding the subject matter and supersedes any prior agreements, whether written or oral. It overrides any additional terms between the parties, regardless of format.

  2. Governing Law and Jurisdiction. These Terms are governed by the laws of the State of New York, USA, without reference to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act do not apply. Any disputes will be resolved exclusively in the courts of New York City, though either party may seek injunctive relief in any competent jurisdiction.

  3. Assignment. We may assign this Agreement without notice or consent. You may not assign or transfer these Terms without our prior written consent. Any unauthorized assignment is void.

  4. Severability. If any provision of these Terms is found invalid or unenforceable by a court, the remaining provisions will continue in full force. The invalid provision will be modified only to the extent necessary to make it enforceable.

  5. Waiver; Class Action Waiver. Failure to enforce any right under these Terms does not constitute a waiver, nor does partial exercise of any right preclude further enforcement. By agreeing to these Terms, you or the Customer Entity waives the right to participate in any class action or collective lawsuit against us. All disputes must be resolved on an individual basis, and any claims or disputes cannot be consolidated with others.

  6. Relationship. We are independent contractors. These Terms do not create an employment, fiduciary, joint venture, or agency relationship between us.

  7. No Third-Party Beneficiaries. Except as expressly stated, these Terms do not grant rights to any third parties.

  8. Force Majeure. We are not liable for failure to perform due to events beyond our reasonable control, such as natural disasters, war, strikes, epidemics, pandemics, cyber attacks, or governmental actions (“Force Majeure”). In the event of such an occurrence, we will make reasonable efforts to resume the Platform and/or Offerings as soon as possible For the avoidance of doubt, cloud-hosting issues shall not be deemed under our reasonable control.

  9. Notices. Notices to you may be sent to the contact information provided in your User Profile, or as listed in the Order Form (as applicable). Email notices to us may be addressed to [email protected], and notices sent by mail or courier should be addressed to our address listed above. Notices are deemed given:

    1. If by email: on the date the email is sent, unless a bounce-back or undeliverable message is received.

    2. If by mail or courier: on the date of receipt as indicated by the delivery service’s records.
